Terms of Service

These Terms of Service govern the use of the VELEXT website, Client Portal and services provided by VELEXT.

Project-specific agreements, proposals, Statements of Work (SOW), maintenance agreements or other written agreements may contain additional or different terms. Where applicable, those project-specific agreements form part of the agreement between VELEXT and the client.

1. Services

VELEXT provides digital services which may include:

  • Website design and development
  • Web applications
  • Hosting and maintenance
  • Search engine optimisation
  • AI solutions
  • Automations
  • Integrations
  • Technical consulting
  • Digital strategy
  • Related digital services

The exact scope, deliverables and price of a project will be defined in the relevant proposal, Statement of Work, quotation or other written agreement.

2. Proposals and Scope

Only work explicitly included in the agreed project scope is included in the project price.

Requests that fall outside the agreed scope may be treated as additional work and may require:

  • A Change Request
  • An additional quotation
  • Additional development time
  • Additional fees

VELEXT will communicate material scope changes before carrying out chargeable additional work.

3. Client Responsibilities

Clients are responsible for providing the information, access, feedback, content, approvals and other materials reasonably required to complete the project.

Delays caused by missing client information, feedback, access or approvals may affect the project schedule.

Unless explicitly agreed otherwise, the client is responsible for ensuring that materials supplied to VELEXT can legally be used.

4. Preview, Testing and Acceptance

Before launch or final delivery, VELEXT may provide the client with a preview, staging environment or other opportunity to review the project.

The client is responsible for reviewing the complete project on relevant devices and testing applicable functionality and user flows.

This includes, where relevant:

  • Content
  • Images
  • Layout
  • Navigation
  • Forms
  • Links
  • Mobile and desktop presentation
  • Interactive functionality
  • User flows
  • Integrations

Approval should only be provided after this review has been completed.

Once the client approves the project for launch or final delivery, matters that were already present and reasonably discoverable during the preview and testing phase may be treated as a change request rather than a defect.

Actual defects, errors or functionality that does not operate according to the agreed scope remain subject to the applicable project agreement and launch-support terms.

5. Revisions

The number and scope of revisions included in a project may be specified in the proposal or Statement of Work.

Additional revision rounds or significant changes to previously approved work may be charged separately.

6. Launch Support

Where included, launch support is intended to resolve:

  • Bugs
  • Technical errors
  • Launch-related problems
  • Issues where delivered functionality does not operate according to the agreed scope

Launch support does not automatically include:

  • New features
  • New functionality
  • Design changes
  • New client preferences
  • Additional content
  • Changes to functionality previously reviewed and approved

Such requests may be treated as additional work.

7. Client Portal

VELEXT may provide clients with access to a Client Portal containing project information, contracts, invoices, documents and other client-specific information.

Client Portal access is personal to authorised users.

Users must:

  • Keep login credentials confidential
  • Not share access with unauthorised persons
  • Notify VELEXT if they suspect unauthorised access
  • Use the portal only for legitimate business purposes

VELEXT may suspend access where reasonably necessary for security, maintenance or suspected misuse.

8. Fees and Payment

Prices and payment schedules are specified in the relevant proposal, quotation, invoice or agreement.

Invoices must be paid within the applicable payment period.

Where permitted by law and the applicable agreement, VELEXT may suspend work or services when invoices remain overdue.

Additional work outside the agreed scope may be invoiced separately.

9. Hosting, Maintenance and Third-Party Services

Some VELEXT services depend on third-party infrastructure and providers.

Examples may include:

  • Hosting providers
  • Domain registrars
  • Database providers
  • Authentication services
  • Payment providers
  • Email providers
  • Analytics services
  • APIs
  • AI providers

VELEXT cannot guarantee uninterrupted operation of independent third-party services.

Where VELEXT provides maintenance or managed services, the exact responsibilities and service level are determined by the applicable maintenance agreement or service package.

10. Intellectual Property

Unless otherwise agreed in writing, VELEXT retains ownership of its pre-existing intellectual property, reusable systems, development methods, frameworks, libraries, templates, components, utilities, internal tools and general know-how.

Upon full payment, the client receives the rights to the project-specific deliverables as described in the applicable agreement.

Reusable VELEXT technology incorporated into a project remains the intellectual property of VELEXT unless expressly transferred in writing.

Third-party software, libraries, fonts, images or other materials remain subject to their respective licences.

11. Portfolio Use

Unless otherwise agreed in writing, VELEXT may reference completed work for reasonable portfolio and marketing purposes, provided this does not disclose confidential information.

Clients may request that confidential or commercially sensitive projects are excluded from public portfolio use.

12. Confidentiality

Both parties should treat confidential business, technical and commercial information received in connection with a project as confidential and should not disclose such information except where necessary to perform the agreement or where required by law.

13. Availability and Security

VELEXT aims to provide reliable and secure digital services but cannot guarantee that websites, applications, hosting environments or third-party services will operate without interruption or error at all times.

VELEXT may perform maintenance, security updates and technical changes where reasonably necessary.

14. Limitation of Liability

To the extent permitted by applicable law, VELEXT is not liable for indirect or consequential losses such as loss of profit, loss of business opportunity or losses caused by services or systems outside VELEXT's reasonable control.

Any limitation of liability may be further specified in the applicable proposal, Statement of Work or other agreement.

Nothing in these Terms excludes liability where exclusion or limitation is prohibited by applicable law.

15. Termination

The applicable project agreement, maintenance agreement or subscription terms determine when and how ongoing services may be terminated.

VELEXT may suspend or terminate services where there is a material breach of the agreement, including persistent non-payment or misuse of VELEXT systems, subject to applicable law and contractual obligations.

16. Changes to Services

Technology changes continuously. VELEXT may make reasonable technical changes necessary to maintain security, compatibility, performance or reliability.

Material changes affecting an agreed project scope will be discussed with the client where appropriate.

17. Privacy

Personal data is processed in accordance with the VELEXT Privacy Policy.

Use of cookies and similar technologies is described in the VELEXT Cookie Policy.

18. Governing Law

Unless otherwise agreed or required by mandatory law, agreements with VELEXT are governed by Dutch law.

Any disputes will be submitted to the competent court in the Netherlands, subject to mandatory legal provisions that may provide otherwise.

19. Changes to These Terms

VELEXT may update these Terms when its services, business model or legal requirements change.

The latest version will be made available through the VELEXT website.
